1.1 Operating Entity: Conscious Way Horizons (“Firm”, “We”, “Us”, or “Our”) is a registered firm in India, operating from Delhi NCR, India. We own and operate the website www.consciousway.org.

1.2 Master Scope: These Master Terms & Conditions (“Terms”) govern your access to and use of our Main Website, as well as all services, offline programs, corporate workshops, CEO & CXO leadership retreats, executive mentorship, physical seminars, live virtual webinars, and online courses hosted on external delivery hubs, including Circle (circle.so).

1.3 Multi-Space Redirection Notice: Our Main Website serves as a central informational portal. Upon selecting a program, users may be redirected to specialized third-party registration portals, payment gateways, or platform spaces (e.g., Circle.so for online communities, Zoom/Teams for webinars, or dedicated checkout software). By proceeding to register or pay on any redirected space, you agree to these Master Terms as well as any specific space/platform guidelines.

2. Program offerings & Specific Scope

2.1 Corporate Workshops & B2B Engagements: Customized corporate workshops, organizational wellness sessions, and team interventions offered to companies or groups are governed by these Terms alongside formal corporate service contracts, statements of work (SOW), or purchase orders.

2.2 CEO, CXO & Executive Training: High-level leadership intensives, executive retreats, and private executive training programs are subject to strict confidentiality, specialized scheduling, and dedicated registration agreements.

2.3 Executive & Life Mentorship: One-on-one or cohort-based mentorship programs involve personalized guidance over specified durations. Mentorship schedules, milestones, and session allocations must be utilized within the agreed timeline.

2.4 Physical Seminars & Offline Events: In-person workshops, public seminars, and physical gatherings conducted at designated venues, hotels, or retreat centers globally.

2.5 Live Webinars & Virtual Events: Live online broadcasts, web conferences, and interactive online masterclasses delivered via video conferencing tools.

2.6 Online Community & Courses (Circle.so): Self-paced online courses, digital learning programs, and community hubs hosted on Circle.so, governed jointly by these Master Terms and the dedicated Circle Platform Terms.

3. Legal Agreement & Governing Law

3.1 Binding Agreement: By accessing www.consciousway.org, filling out registration/inquiry forms, or enrolling in any program, you (“User”, “Client”, “Participant”, or “Purchaser”) enter into a legally binding contract under the Indian Contract Act, 1872, the Information Technology Act, 2000, and applicable electronic contract regulations.

3.2 Jurisdiction: These Terms are governed by and construed in accordance with the laws of India. Any disputes arising hereunder shall be subject to the exclusive dispute resolution mechanism in Section 15.

4. Registration, Account Credentials & Portal Access

4.1 Registration Integrity: You agree to provide accurate, complete, and current information during registration or inquiry for any program. Providing false or misleading identity details is strictly prohibited.

4.2 Non-Transferable Access: Registrations, seat allocations, mentorship passes, and portal login credentials issued for any program are non-transferable to third parties without prior express written approval from Conscious Way Horizons.

4.3 Credential Security: You are responsible for keeping your account credentials confidential. Any activity conducted under your account or registration link is your legal responsibility.

5. Payments, Billing, Taxes & Currency

5.1 Payment Processing: All payments made through www.consciousway.org or associated checkout portals are processed securely via encrypted third-party payment gateways (e.g., Razorpay, Stripe, PayPal). We do not store sensitive payment card details on our primary servers.

5.2 Taxes (GST & International Duties): For transactions within India, applicable Goods and Services Tax (GST) will be charged in accordance with Indian tax laws. International clients and participants are responsible for any applicable local taxes, import duties, cross-border transaction fees, or withholding taxes required by their local jurisdictions.

5.3 Corporate Invoicing: For corporate workshops and CXO training, invoices are issued subject to agreed payment terms (e.g., advance retainer, milestone payments). Late payments may incur interest at 1.5% per month or the maximum permissible legal rate.

6. Refund & Cancellation Policies (Offline, Live & Online)

6.1 Offline Events, Corporate Workshops & CXO Training: Due to advance venue bookings, travel logistics, and resource allocation for offline seminars, corporate workshops, and executive retreats:
• Client/Participant Cancellations made 30 days or more prior to the event date may receive a 50% refund or full credit transfer to a future event.
• Cancellations made less than 30 days prior to the event date are NON-REFUNDABLE.
• Corporate customized workshops canceled by the client after contract execution are subject to non-refundable deposit terms as per the SOW.

6.2 Executive Mentorship Programs: Mentorship fees cover specialized mentor allocation and dedicated time slots. Once a mentorship engagement commences, fees are non-refundable. Missed or rescheduled individual sessions require at least 48 hours’ advance notice; otherwise, the session is forfeited.

6.3 Live Webinars & Virtual Workshops: Registrations for live single-session webinars are final and non-refundable upon receipt of event access links. Replay access will be provided where specified.

6.4 Online Community & Self-Paced Courses (Circle.so): Online course purchases follow the specific refund terms communicated on the program’s checkout page. In the absence of an explicit written money-back guarantee on the checkout page, all digital sales are final and non-refundable once access is granted.

6.5 Explicit Refund Promises: Where a specific program explicitly advertises a money-back guarantee or refund policy on its official landing page or SOW, that specific policy shall supersede these general provisions, provided all conditional requirements (e.g., action items, participation thresholds) are satisfied.

7. Intellectual Property & Proprietary Material

7.1 Exclusive Ownership: All materials displayed on www.consciousway.org or distributed during corporate workshops, CXO training, mentorship sessions, seminars, webinars, or online courses—including frameworks, slide decks, audio/video recordings, workbooks, methodologies, and proprietary concepts—are the exclusive intellectual property of Conscious Way Horizons, protected under the Indian Copyright Act, 1957 and international IP treaties.

7.2 Prohibited Acts & Recording Ban: You may not copy, reproduce, record (audio or video), screen-capture, broadcast, re-sell, distribute, or create derivative works from any program materials without our prior written consent.

7.3 Corporate Materials License: Corporate clients are granted a limited, internal-use license to utilize training workbooks provided specifically for their internal staff during agreed workshops. Corporate clients may not re-sell or deliver our proprietary curriculum externally.

8. Venue Rules, Health & Media Consent for Offline Events

8.1 Code of Conduct & Entry Rights: Participants in offline seminars, corporate workshops, or retreats must adhere to professional decorum and venue safety policies. Conscious Way Horizons reserves the right to deny entry or remove any individual who causes disruption, harassment, or poses a safety risk, without refund.

8.2 Travel & Accommodation Responsibilities: Unless explicitly included in a premium retreat or corporate contract package, participants are solely responsible for their personal travel, lodging, insurance, and local transport.

8.3 Media Consent & Photography Release: During offline events and live webinars, Conscious Way Horizons may capture photographs, audio, or video footage for promotional, marketing, or educational purposes. By participating, you grant us permission to use your image or voice in our promotional materials. If you do not wish to be photographed or recorded, you must notify our event team in writing prior to the event.

9. Mental Health, Coaching & Professional Services Disclaimer

9.1 Educational & Transformational Scope: All programs offered by Conscious Way Horizons—including CEO training, corporate wellness, mentorship, seminars, and online courses—are educational, developmental, and informational in nature.

9.2 No Medical, Psychiatric, or Legal Advice: OUR SERVICES DO NOT CONSTITUTE PSYCHOTHERAPY, CLINICAL MENTAL HEALTH COUNSELING, MEDICAL DIAGNOSIS, PSYCHIATRIC TREATMENT, OR LEGAL/FINANCIAL ADVICE. Mentorship and coaching sessions do not replace licensed healthcare or medical treatment. Participants experiencing mental health crises must seek professional medical assistance.

9.3 No Earnings or Success Guarantee: While our programs share proven strategies, methodologies, and leadership tools, individual and corporate outcomes depend on personal effort, market factors, execution, and external variables. We make no express or implied guarantees regarding financial results, corporate revenue growth, or specific personal milestones.

10. External Links & Third-Party Redirection

10.1 Portal & Space Redirection: Our website links to third-party platforms, including Circle (circle.so) for online communities, payment processors (e.g., Razorpay, Stripe), video hosting systems (e.g., Zoom, Vimeo), and social channels.

10.2 Third-Party Terms: Conscious Way Horizons is not responsible for the independent operating policies, terms, privacy practices, or downtime of external websites or platforms. Users are encouraged to review third-party terms when leaving www.consciousway.org.

11. Third-Party Platform Dependency & Service Availability

11.1 Platform Operational Issues: For programs delivered digitally or virtually, service delivery relies on third-party infrastructure (Circle.so, Zoom, web hosting servers). Conscious Way Horizons shall not be held liable for temporary platform outages, maintenance windows, server crashes, or technical glitches outside our direct control.

12. Force Majeure

12.1 Events Beyond Control: Conscious Way Horizons shall not be liable for any failure or delay in performing its obligations—including hosting offline seminars, corporate workshops, mentorship calls, or live webinars—if such failure arises from acts of God, extreme weather, natural disasters, floods, fires, pandemics, government restrictions, travel bans, civil unrest, labor strikes, national power/internet blackouts, or venue emergencies.

12.2 Rescheduling Right: In the event of a force majeure interruption affecting an offline seminar or live workshop, Conscious Way Horizons reserves the right to reschedule the event to a future date or transition the event to a virtual format without triggering a cash refund obligation.

13. Limitation of Liability

13.1 Maximum Liability Cap: To the maximum extent permitted by law, the aggregate financial liability of Conscious Way Horizons, its partners, trainers, mentors, and team members for any claim, loss, or damage arising out of your use of www.consciousway.org or participation in any program shall be strictly capped at the total amount actually paid by you (or your organization) for the specific program giving rise to the claim.

13.2 Exclusion of Consequential Loss: In no event shall Conscious Way Horizons be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, business disruption, loss of data, or emotional distress.

14. Indemnification

14.1 User Indemnity: You agree to defend, indemnify, and hold harmless Conscious Way Horizons, its partners, trainers, employees, and affiliates against any third-party claims, liabilities, losses, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, unauthorized use of program materials, misconduct at offline events, or violation of applicable laws.

15. Dispute Resolution & Governing Law

15.1 Informal Consultation: In the event of any disagreement or legal dispute, parties agree to first contact connect@consciousway.org and attempt in good faith to resolve the issue through informal discussion within 30 days.

15.2 Binding Arbitration: If unresolved informally, any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 of India. The seat and venue of arbitration shall be New Delhi, India. The arbitration shall be conducted in English by a sole arbitrator appointed by Conscious Way Horizons.

15.3 Judicial Jurisdiction: Subject to the arbitration clause above, the competent courts located in New Delhi, India shall have exclusive jurisdiction over any legal proceedings.

16. Updates to These Master Terms

16.1 Right to Revise: We reserve the right to amend, update, or replace these Master Terms at any time to reflect operational, legal, or regulatory changes.

16.2 Effective Date: Revisions become effective immediately upon posting on www.consciousway.org. Your continued use of the website or participation in programs following updates constitutes full acceptance of the revised Terms.
